1. Acceptance of Terms
By accessing or using ProxiCall ("Service"), you confirm that you are at least 16 years old and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms. If you do not agree, please do not use the Service.
2. Description of Service
ProxiCall is a proximity-first business platform providing businesses with free website creation, multilingual content management, order management, payment processing, push notifications, employee management, and customer discovery tools. The Service is available through our mobile application (iOS and Android) and web dashboard. Features and availability may change over time with reasonable notice.
3. User Accounts
You must create an account to access core features. You are responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activities that occur under your account; (c) notifying us immediately at security@proxicall.app of any unauthorised access. You may not share your account with others or create accounts for automated use without our written permission. We reserve the right to terminate accounts that violate these terms.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international laws or regulations
- Infringe on the intellectual property rights of others
- Transmit, upload, or display harmful, offensive, fraudulent, defamatory, or illegal content
- Interfere with, disrupt, or attempt to gain unauthorised access to the Service or its infrastructure
- Impersonate any person, business, or entity
- Collect, harvest, or process other users' personal data without their consent
- Send unsolicited communications or engage in any form of spam
- Reverse engineer, decompile, or attempt to extract the source code of the Service
5. Business Content
Business owners are solely responsible for all content they publish through the Service, including website content, menus, job postings, photos, and business information. Content must be accurate, lawful, and not misleading. We reserve the right to remove content that violates these terms or applicable law. Publishing false or misleading pricing, availability, or product information may result in account suspension.
6. Proximity Notifications
Businesses may send proximity-triggered notifications to users who have enabled this feature. Notifications must relate directly to the business's genuine goods or services. Mass, unsolicited, or deceptive notifications are strictly prohibited and will result in immediate account suspension. Users may opt out of notifications at any time through their device or app settings.
7. Payments & Billing
The Free plan is available at no cost with no expiration. Paid plans (Growth and Enterprise) are billed monthly or annually as selected. Payments are processed securely by Stripe. By subscribing to a paid plan you authorise us to charge your payment method on a recurring basis until cancelled. Subscriptions auto-renew unless you cancel before the renewal date. Refunds are not provided for partial billing periods. We reserve the right to update pricing with 30 days' notice.
8. Intellectual Property
The Service — including its software, design, features, trademarks, and original content — is owned by ProxiCall and protected by copyright and other intellectual property laws. You retain full ownership of content you create and publish through the Service. By using the Service, you grant ProxiCall a non-exclusive, royalty-free, worldwide licence to host, store, display, and deliver your content solely for the purpose of operating the Service.
9. Termination
You may terminate your account at any time by deleting it through the app settings. Upon termination, your access to the Service ceases and your data will be deleted in accordance with our Privacy Policy. We may suspend or terminate your account immediately if we determine you have violated these terms, without liability to you. Sections 8 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), and 12 (Governing Law) survive termination.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without any warranty of any kind, express or implied. We expressly disclaim all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected. Proximity detection functionality depends on device hardware, operating system permissions, and network conditions outside our control.
11. Limitation of Liability
To the maximum extent permitted by applicable law, ProxiCall and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of revenue, profit, data, or goodwill — arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages. Our total cumulative liability to you for any claims arising under these terms shall not exceed the greater of: (a) the amount you paid to ProxiCall in the 12 months preceding the claim, or (b) USD $100.
12. Changes to Terms
We may modify these Terms of Service at any time. For material changes, we will provide at least 14 days' notice via email or in-app notification before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the Service.
